ПРОБЛЕМА С АНГЛИЙСКИМ... Знаю что разводят.. скажите в чем? Правильно ли я понял что они хотят все права на фото?
AGREEMENT
In consideration of the compensation received by me(copyright owner), I hereby give to Jay Radia, his legal representatives and assigns, and those acting with his authority and permission, the following Rights and Permission under the Terms and Conditions stated below:
1) Agreement Period: This Agreement shall commence on the date of signing and continue until terminated by Jay Radia.
2) Termination: Jay Radia has the right to terminate this Agreement at any time for any reason with or without cause, including a breach of any term of this Agreement. In case of breach of this Agreement by me, Jay Radia has the right to terminate this Agreement immediately and I will not be eligible for any benefits or incentives that have accrued or are due to be paid in future. I will be eligible to terminate this Agreement only if Jay Radia breaches any of the Terms or Conditions of this Agreement.
3) Compensation: I agree to receive ____________________ [Indicate amount] as compensation for giving my photo to Jay Radia. In case there is any claim to the ownership of the photos sold by me, and the same is proved, I will refund the entire compensation amount received from Jay Radia.
4) I hereby agree and grant a non-exclusive, fully paid and royalty-free, worldwide, unlimited and unrestricted license to copyright and use, re-use, edit, publish, print, delete from or add, publicly display, reproduce images and freely distribute photographic portraits or pictures of me or in which I may be included intact or in part, composite or distorted in character or form, without restriction as to changes or transformations in conjunction with my own or a fictitious name, or reproduction hereof in colour or otherwise, made through, including without limitation distributing part or the entire Site in any media formats through any media channels or websites now or hereafter, to earn advertising revenue. I hereby grant to Jay Radia the right to use the files on commercial, editorial, educational, research and personal purposes.
5) I agree not to demand attribution, profit share from advertising revenue or any credit from the photos bought from me.
6) I hereby relinquish any right that I may have to examine or approve the completed product or products or the advertising copy or printed matter that may be used in conjunction therewith or the use to which it may be applied.
7) Confidentiality: I agree to keep all terms of this agreement, especially financial arrangements, strictly confidential.
I hereby release, discharge and agree to save harmless, Jay Radia, his legal representatives or assigns, and all persons functioning under Jay Radia permission or authority, or those for whom Jay Radia is functioning, from any liability by virtue of any blurring, distortion, alteration, optical illusion, or use in composite form whether intentional or otherwise, that may occur or be produced in the processing of said photo, as well as any publication thereof, including without limitation any claims for libel or invasion of privacy.
9) I represent and warrant that I own the photo(s) sold to Jay Radia and have the right to grant the Free Distribution License to Jay Radia. I hereby affirm that I am over the age of majority and have the right to contract in my own name. I have read the above authorization, release and agreement, prior to its execution; I fully understand the contents thereof. This agreement shall be binding upon me and my heirs, legal representatives and assigns.
10) The photographs will be used in Web sites or other forums promoting the license, sale or distribution of products, design template applications, etc., whether in print or electronic form, as intended for license, resale or distribution.
11) Governing Law & Dispute Resolution: This Agreement shall be governed by and construed in accordance with the laws of _______________. Any and all disputes and legal actions arising out of the interpretation or application of this Agreement shall be resolved by and brought exclusively in the courts of _____________________ [Insert city/State name where you want to file a law suit] and I hereby consent to the exclusive jurisdiction of such courts with respect to such matters.
